New Zealand Class Shares

 

Exchange of NZ Class Shares for Westpac Ordinary Shares

On 5 May 2005 Westpac announced its decision to exchange the NZ Class shares for Westpac ordinary shares. This followed an initial announcement in November 2004 that Westpac had the option to exchange the NZ Class shares for Westpac ordinary shares as a result of changes to Australian tax rules.

A formal notice of the exchange (the "Exchange Notice") was sent to NZ Class shareholders on 7 July 2005.

As a result of the Exchange Notice, on 11 July 2005 each NZ Class share was exchanged for one ordinary share in Westpac Banking Corporation.

Westpac has established a New Zealand branch register for the former NZ Class shareholders, which will be maintained by Link Market Services Limited (LINK). This register forms part of Westpac's main register of holders of ordinary shares.
